Terms and conditions of sale
Article 1 / Purpose
The general terms and conditions of sale detail the rights and obligations of the Company ARBIDE CARRELAGErepresented by its manager Mickael ARBIDEand its customer, for the supply and installation of tiles, earthenware, mosaics, natural stone or waxed concrete. All services provided by the Company ARBIDE CARRELAGEwhose registered office is at 6 chemin du bout du bas , SAINT GERMAIN D'ESTEUIL, 33340, FRANCEThe purchase of a product implies the customer's unreserved acceptance of these general terms and conditions of sale.
Article 2 / Prices
The prices of the goods sold and the work proposed are those in force on the day the quotation is drawn up. They are denominated in euros and calculated exclusive of tax. Consequently, they will be increased by the rate of VAT and any transport costs applicable on the day the order is placed. The company ARBIDE CARRELAGE reserves the right to modify its prices, but undertakes to invoice the goods ordered at the prices indicated on confirmation of the quotation.
Article 3 / Discounts and rebates
The prices quoted include any discounts and rebates that the company ARBIDE CARRELAGE would be led to grant, taking into account its results or the assumption of responsibility by the customer of certain services.
Article 4 / Discount
No discount will be granted for early payment.
Article 5 / Terms of payment
Payment for work can be made: - by cheque, - by bank transfer - in cash, for payments of up to €1,000, or up to €15,000 if the customer can prove that they are not resident in France for tax purposes and that the debt is not due in the course of a business. When the quotation is confirmed, the customer must pay a deposit of 30% of the total amount of the invoice, with the balance to be paid on delivery of the work. Depending on the size of the project, particularly if a project manager is involved, work progress reports will be drawn up at each stage of the project, and interim payments may be requested from the customer by each company. Article 6 / Late payment (for business customers)
In the event of non-payment on the due date, late payment penalties corresponding to the ECB rate for its last refinancing operation, plus 10 percentage points, will be applied. These penalties are calculated on the amount due, inclusive of tax, and run from the due date, without any prior formal notice being required. In addition to the late payment penalties, any sum, including the deposit, not paid by the due date will automatically give rise to the payment of a fixed indemnity of €40, due for recovery costs (Articles 441-6, I paragraph 12 and D. 441-5 of the French Commercial Code).
Article 7 / Complaints about coverings offered for installation: tiles, earthenware, mosaics and stone
For supplies of tiles, mosaics, earthenware and natural stone, the dimensions, colour shades, appearance, structure and weight may be subject to variations inherent in their manufacture or nature, within the usual tolerances. Samples or illustrations appearing in our documents have no contractual value. Complaints concerning the apparent non-conformity of our goods will only be taken into account before installation.
Article 8 / Insurance
In accordance with article L 241-1 of the French Insurance Code, the company société ARBIDE CARRELAGE has taken out a BANQUE POPULAIRE, IARD Chauray, BP 8410, 79024 NIORT Cedex 9for all its services, a ten-year civil liability insurance policy, valid in mainland France.
Article 9 / Retention of title clause
The company company ARBIDE CARRELAGE retains ownership of the goods sold (detailed in the quotation, accepted by the customer) until full payment of the price, in principal and in accessories. In this respect, if the professional customer goes into receivership or liquidation, the company société ARBIDE CARRELAGE reserves the right to reclaim any unpaid goods sold in the context of insolvency proceedings.
Article 10 / Force majeure
The company's liability ARBIDE CARRELAGE will not be able to be implemented if the non-execution or the delay in the execution of one of its obligations described in the present general terms and conditions of sale results from a case of force majeure.
Article 11 / Disputes and jurisdiction
Any dispute relating to the interpretation and performance of these general terms and conditions of sale shall be governed by French law. Failing amicable resolution, the dispute will be brought before the Commercial Court of Bordeaux.
